THE FOLLOWING DEFINITIONS AND RULES OF INTERPRETATION APPLY IN THESE CONDITIONS
1. Interpretation
1.1 Definitions
Agreement: by signing these Terms and Conditions you agree to the points of this document, and it becomes the agreement between the Supplier (MM) and the Customer.
Business Day: a day other than a Saturday, Sunday or a public holiday when banks in London are open for business (shooting schedule may stipulate any day of the week).
Charges: the charges payable by the Customer for the supply of the Services in accordance with these terms and conditions
Commencement Date: the date in which these terms and conditions are signed
Conditions: these terms and conditions are amended from time to time in accordance with applicable laws, regulations, or at the discretion of the company to reflect changes in business practices, legal requirements, or technological advancements.
Contract: the contract between the Supplier and the Customer for the supply of Services in accordance with these conditions and quotations.
Customer: the person or firm who purchases Services from Supplier.
Deliverables: the deliverables set out in the Purchase Order produced by Supplier for the Customer.
Equipment: the equipment supplied by the Supplier, including but not limited to, 2 ways, 3 ways, 4 ways, star trailers, 5th wheels, honey wagons, wardrobes etc.
Intellectual Property Rights: patents, rights to inventions, copyright and related rights, trade marks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.
Location: the Customer's premises, office accommodation and other facilities or such other location(s) for the provision for Services set out in the quotation or otherwise agreed including for the avoidance of doubt studio facilities and unit base.
Location Reece Report: means the report that is produced by the Supplier following a physical survey of the intended location by the Supplier to ensure suitable access to and egress from the intended Location and to establish so far as possible that the location is safe and fit for purpose so far as the provision of the Services by the Supplier is concerned.
Order: the Customer's order for Services as set out in the Customer's Purchase Order form, the Customer's written acceptance of a quotation by Supplier, or overleaf.
Production: the film/motion picture/TV series/event or any other type of production, which expression shall include all material filmed, recorded or produced in connection therewith, by the Customer at the location.
Quotation: the description or specification of the Services provided in writing by the Supplier to the Customer and agreed by the Customer in writing to the Supplier.
Services: the Services, including the Deliverables and equipment, supplied by the Supplier to the Customer during the Services period as set out in the quotation together with any other Services and equipment which the Supplier provides or agrees to provide to the Customer.
Services Period: the period during which Services are to be provided to the Customer as set out in the Quotation or any other period during which the Supplier provides or agrees to provide the Services to the Customer.
Specification: the description or specification of the Services provided in writing by the Supplier to the Customer.
Start Date: the date on which the Services are to start as set out in the Quotation
Supplier: Movie Makers is a Division of Traylen Enterprises Ltd (Registration number: 3163385).

Supplier Equipment: any vehicles, equipment, property or other facilities provided by the Supplier and used directly or indirectly in the supply of Services
Supplier Personnel: the employees, agents or other representatives of the Supplier whose Services are employed or engaged by the Supplier in connection with the Provision of Services.
2. Basis of Contract
2.1 The Order constitutes an offer by the Customer to purchase Services in accordance with these conditions.
2.2 The Order will be considered accepted only when the Supplier provides written confirmation of acceptance (PO) or, if no written acceptance is provided, when the Supplier begins delivering the Services. In such cases, the Contract will come into effect on the date the Services commence (the "Commencement Date"). The Contract represents the complete agreement between the parties. The Customer acknowledges that it has not relied on any statements, promises, representations, assurances, or warranties made by or on behalf of the Supplier that are not explicitly included in the Contract.
2.3 Any descriptive material or advertising provided by the Supplier, including descriptions or illustrations in the Supplier's catalogues, brochures, or website, is intended solely to offer a general idea of the Supplier's Equipment and Services. Such materials do not form part of the Contract and have no contractual binding effect.
2.4 These Conditions shall govern the Contract to the exclusion of any other terms the Customer may seek to impose or incorporate, or any terms implied by trade, custom, practice, or course of dealing.
2.5 Any Quotation provided by the Supplier does not constitute an offer and is valid only for 14 Business Days from the date of issuance. The provision of a Quotation does not guarantee the availability of the Supplier's Equipment and/or Services, either at the time the Quotation is issued or when the Customer places an Order.
